1. Who we are

Spawnrank is operated by Joydle Interactive Ltd, a private limited company registered in England and Wales (company no. 17233012), whose registered office is at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("we", "us"). These terms are a binding agreement between you and us. By using Spawnrank, listing a game or paying, you accept them, together with the Rules and our Privacy Policy, which form part of them.

2. What Spawnrank is

Spawnrank is a public leaderboard for video games. Games are ranked only by the money paid for them. Each payment counts on three boards: Today (the current UTC day), Last 7 days (each payment counts for exactly 7 days from when it is confirmed) and All-time. The Last 7 days board is the front page.

3. No guaranteed position or results

A payment buys placement at whatever rank it reaches when Stripe confirms it. It does not buy a fixed or lasting position: anyone, including other developers and players, can pay more and move above you, and each payment stops counting on the Last 7 days board 7 days after it was confirmed. We don't promise any number of views, clicks, wishlists, downloads or sales.

4. Who can use Spawnrank

You may browse at any age. To list a game or make a payment you must be at least 18, or the age of majority where you live if that is higher. If you list a game, you confirm that you made it or are authorized to represent its owner, and that you are acting for your business or trade unless you tell us otherwise.

5. Listings

• Listings must follow the Rules. We may refuse, edit for accuracy, hide or remove any listing that breaks them, including adult content, real-money gambling, games that require buying a crypto token or NFT, malware, copied games, and listings that misuse someone else's name, trademarks or art.
• You keep all rights in your game and its materials. You give us a worldwide, non-exclusive, royalty-free licence to display your listing's title, description, cover art, store links and studio name on Spawnrank, in share images and in posts about the board, for as long as the listing exists and for a reasonable time after.
• You are responsible for your listing being accurate and lawful.

6. Payments, prices and tax

• Prices are in US dollars, in whole dollars, from $5 per new listing. Raising a game means choosing a new total; you pay only the difference.
• Payments are processed by Stripe. We never see or store your card number.
• Any VAT or sales tax that applies is added at checkout.
• Your payment counts from the moment Stripe confirms it. If someone pays more while you are at checkout, you still land on the board, possibly lower than you aimed.

7. Cancellation and refunds

• Your placement is a digital service that we start immediately. When you pay, you ask us to place your payment on the board straight away.
• If you are a consumer in the UK or the EU, you normally have 14 days to cancel a contract made online. By asking us to start immediately, you acknowledge that once your payment has been placed on the board the service has been performed and you lose that right to cancel. If you cancel before your payment is placed, we refund you in full.
• Apart from that, payments are final. Being outranked, a payment reaching 7 days, the daily reset, fewer clicks than you hoped for, or removal of a listing for breaking the Rules don't create a refund.
• A duplicate charge caused by a technical error on our side is refunded in full. If a payment is refunded or reversed, it is removed from every board.
• Nothing in these terms affects your statutory rights as a consumer.

8. Store links and click counting

Links to stores and websites go through a Spawnrank redirect, which counts the visit and adds a "spawnrank" source tag in the format that store supports. Click counts are best estimates: one per visitor, per game, per day, with automated traffic filtered out. We don't guarantee their accuracy.

9. Fair use

Don't use bots, scripts or other automated means to click, vote or manipulate the board, don't interfere with the service or its security, and don't scrape it at a volume that affects other people's use. We may void votes or clicks and remove listings involved in manipulation.

10. Copyright and takedown requests

If you believe a listing infringes your rights, email legal@spawnrank.com with the listing's link, the work you believe is infringed, your contact details, and a statement that you have a good-faith belief the use isn't authorized.

11. Disclaimers

Spawnrank is provided "as is" and "as available". To the extent the law allows, we make no warranties about the service, including that it will be uninterrupted or error-free. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, for fraud, or your statutory rights as a consumer.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, including loss of profits, revenue, data or goodwill. Our total liability to you is limited to the greater of (a) the amounts you paid us in the 12 months before the claim, or (b) US$100. These limits don't apply to liability that cannot lawfully be limited.

13. Indemnity

If you list a game, you agree to compensate us for reasonable losses and costs from third-party claims arising out of your listing's content or your breach of these terms, except to the extent caused by us.

14. Suspension and removal

We may suspend your use of Spawnrank or remove a listing if you break these terms or the Rules, or if we reasonably believe it is needed to protect other users, the service or third parties.

15. Changes

We may update these terms. For material changes we'll give at least 30 days' notice on Spawnrank before they take effect. The date at the top shows the current version, and payments are governed by the terms in force when you made them.

16. Governing law

These terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. This doesn't affect mandatory consumer protections in your country, or your right to bring proceedings in your country of residence where the law allows.
